End User License Agreement

Product: Tekla Open API Skill for AI coding agents (the “Software”)
Licensor: Grzegorz Olszewski, trading as Constructive Greg Grzegorz Olszewski,
a sole trader registered in the Polish Central Register and Information on Economic Activity

(“Licensor”, “we”, “us”)

Effective date: the date you download, install, or first use the Software.

PLEASE READ THIS AGREEMENT CAREFULLY. By downloading,
installing, copying, or using the Software, you (“Licensee”, “you”)
agree to be bound by the terms of this End User License Agreement (“Agreement”).
If you do not agree, do not download, install, or use the Software, and delete all copies in
your possession.

1. Definitions

1.1 “Software” means the Tekla Open API Skill, including its
SKILL.md, reference documentation, code samples, helper libraries, scripts,
packaging assets, and any updates or supplements provided by the Licensor. The Software is
designed to be used with an AI coding agent; it is not limited to any particular agent,
vendor, or host application
, and this Agreement applies however you use it.

1.2 “Course” means the video course or other training materials
with which the Software is distributed.

1.3 “Authorized User” means the single individual who purchased
the license, or, where the license was purchased by an organization, one named individual within
that organization per license purchased.

2. Grant of License

2.1 Subject to your compliance with this Agreement and payment of all applicable fees, the
Licensor grants you a non-exclusive, non-transferable, non-sublicensable,
revocable
license to:

  • (a) install and use the Software on machines under your control;
  • (b) use the Software for your own personal learning and for your own internal professional
    or commercial work (for example, developing Tekla Structures tooling for your employer or your
    own clients); and
  • (c) create derivative works for your own internal use only, such as
    adapting the code samples into your own projects.

2.2 This is a license, not a sale. You acquire no ownership rights in the
Software.

3. Restrictions

You shall not, and shall not permit any third party to:

3.1 Redistribute, resell, sublicense, rent, lease, lend, or otherwise transfer
the Software or any part of it, in original or modified form, whether for free or for a fee;

3.2 Publish or post the Software, in whole or in part, in any public or
shared location, including but not limited to public or private code repositories (e.g. GitHub,
GitLab), file-sharing services, forums, Discord/Slack servers, AI prompt marketplaces, or
skill/plugin directories;

3.3 Share the Software with any person who is not an Authorized User,
including colleagues, clients, or members of the same organization who did not purchase a
license;

3.4 Repackage, rebrand, or incorporate the Software (or substantial portions
of it, including its curated documentation, structure, or sample collection) into any product,
course, skill, plugin, dataset, or service offered to third parties;

3.5 Remove, alter, or obscure any copyright, watermark, identifier, license,
or proprietary notice contained in or accompanying the Software;

3.6 Use the Software to train, fine-tune, or build a competing dataset,
model, skill, or knowledge base intended for distribution to third parties.

The internal-derivative-works right in Section 2.1(c) does not permit any of
the activities prohibited above.

4. Ownership and Intellectual Property

4.1 The Software, including all curated content, documentation, code samples, structure,
organization, and selection of materials, is the intellectual property of the Licensor and is
protected by copyright and other applicable laws.

4.2 All rights not expressly granted to you in this Agreement are reserved by the Licensor.

5. Watermarking and Traceability

5.1 You acknowledge that each licensed copy of the Software may contain unique
identifiers
(“watermarks”) that associate the copy with the purchasing
Authorized User. These identifiers may be visible or non-visible.

5.2 You agree not to remove, alter, or attempt to defeat such identifiers.

5.3 If a copy of the Software bearing your identifier is found to have been redistributed,
published, or shared in violation of this Agreement, the Licensor may rely on that identifier as
evidence that the breach originated from your copy. Where the breach is
attributable to you, you shall be liable for the resulting damages and reasonable enforcement
costs, subject to the limitations in Section 9 and to any mandatory rights you have under
applicable law.

6. Consumer Right of Withdrawal and Immediate Performance

This Section applies where you purchase the Software as a consumer within
the meaning of applicable EU and Polish consumer-protection law. It does not limit any statutory
right that cannot be waived.

6.1 The Software is digital content supplied without a tangible medium and is
made available for download and use immediately upon purchase.

6.2 By completing your purchase and expressly requesting immediate access, you:

  • (a) give your prior express consent to the performance of this Agreement
    (the provision of, and access to, the Software) beginning immediately, before
    the expiry of the 14-day withdrawal period; and
  • (b) acknowledge and agree that you thereby lose your right of withdrawal
    under art. 27 of the Polish Act on Consumer Rights (implementing Directive 2011/83/EU), in
    accordance with art. 38(1)(13) of that Act.

6.3 This waiver applies to the statutory 14-day cooling-off right only. It
does not affect your statutory rights in respect of digital content that is
defective or does not conform to this Agreement (conformity rights under Directive (EU) 2019/770
and the Polish Civil Code), which remain fully available to you.

6.4 If you do not wish to waive the withdrawal right, do not
request immediate access and do not download or use the Software; contact the
Licensor at the address above instead.

7. Term and Termination

7.1 This Agreement is effective until terminated.

7.2 This license terminates automatically and immediately, without notice, if
you breach any of its terms.

7.3 This license also terminates automatically if your purchase is refunded,
reversed, or subject to a chargeback, for any reason.

7.4 Upon termination, you must cease all use of the Software and
destroy all copies in your possession or control. Continued use, retention, or
distribution of the Software after termination constitutes copyright infringement.

7.5 Sections 3, 4, 5, 8, 9, 10, and 11 survive termination.

8. Disclaimer of Warranties

8.1 THE SOFTWARE IS PROVIDED “AS IS” AND “AS
AVAILABLE”, WITHOUT WARRANTY OF ANY KIND
, express or implied, including but not
limited to the implied warranties of merchantability, fitness for a particular purpose, accuracy,
and non-infringement.

8.2 The Software assists with software development but does not guarantee
that generated code is correct, safe, complete, or suitable for production use. You are solely
responsible for reviewing, testing, and validating all code and output before
use, including any code that creates or modifies Tekla Structures models.

8.3 You are responsible for maintaining backups of your models and data. The Licensor is not
responsible for any loss of or damage to your models, data, or projects.

8.4 Consumers. Nothing in this Section excludes or limits the statutory
conformity rights of a consumer in respect of digital content and digital services under
Directive (EU) 2019/770, the Polish Act on Consumer Rights, and the Polish Civil Code. To the
extent this Section conflicts with those non-waivable rights, those rights prevail.

9. Limitation of Liability

9.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE LICENSOR BE
LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS
OF PROFITS, DATA, OR BUSINESS, ARISING OUT OF OR RELATED TO THE SOFTWARE OR THIS AGREEMENT, EVEN
IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9.2 THE LICENSOR’S TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL
NOT EXCEED THE AMOUNT YOU ACTUALLY PAID FOR THE LICENSE.

9.3 Nothing in this Agreement excludes or limits liability that cannot lawfully be
excluded or limited
, including liability for death or personal injury caused by
negligence, for intentional damage or gross negligence, or under mandatory consumer-protection
law. Where you contract as a consumer, the exclusions and cap in this Section apply only to the
extent permitted by the applicable mandatory law.

10. Third-Party Trademarks and No Affiliation

10.1 Tekla and Tekla Structures are trademarks or registered
trademarks of Trimble Inc. and/or its affiliates. Claude and
Claude Code are trademarks of Anthropic, PBC.

10.2 The Software is an independent, unofficial product. It is not
affiliated with, authorized, sponsored, or endorsed
by Trimble Inc. or Anthropic, PBC.

10.3 All third-party trademarks are the property of their respective owners and are used for
identification and descriptive purposes only.

10.4 Your use of Tekla Structures, the Tekla Open API, and any AI coding agent or other
third-party tool you use the Software with is governed by the respective license terms of those
products. You are responsible for holding valid licenses for all third-party software you use
with the Software.

11. Personal Data and Watermarking

11.1 To deliver the Software, process your purchase, and protect against unauthorized
redistribution, the Licensor processes limited personal data (such as your name, email address,
order identifier, and a per-copy watermark/canary identifier associating your licensed copy with
you — see Section 5).

11.2 The Licensor acts as data controller for this processing. The legal
bases are performance of this Agreement (art. 6(1)(b) GDPR) and the Licensor’s legitimate
interest in protecting its intellectual property against infringement (art. 6(1)(f) GDPR).

11.3 Payment processing is carried out by the Licensor’s merchant of record, who acts as
an independent controller for payment and tax data under its own terms.

11.4 Full details of what data is processed, how long it is retained, and how to exercise your
rights (access, rectification, erasure, objection, and complaint to a supervisory authority) are
set out in the Licensor’s Privacy Policy, available at
Privacy Policy, which forms part of this Agreement.

12. General

12.1 Governing law. This Agreement is governed by the laws of the
Republic of Poland, without regard to its conflict-of-laws rules. Mandatory
consumer-protection provisions of Polish law and of the European Union that cannot be derogated
from by agreement remain unaffected.

12.2 Severability. If any provision of this Agreement is held unenforceable,
the remaining provisions remain in full force and effect.

12.3 Entire agreement. This Agreement, together with the Privacy Policy
referenced in Section 11, constitutes the entire agreement between you and the Licensor regarding
the Software and supersedes all prior understandings.

12.4 No waiver. Failure to enforce any provision does not constitute a waiver
of the right to enforce it later.

12.5 Updates. The Licensor may provide updated versions of the Software and
of this Agreement. Updated Software terms apply to versions you download after the update. For
material changes affecting a consumer’s rights or obligations, the Licensor
will give reasonable prior notice, and the updated terms take effect only after you have had an
opportunity to review them; if you do not accept a material change, your remedy is to stop using
the Software. Non-material changes (such as clarifications or corrections) take effect on
posting.
